Terms and Conditions

Introduction

These Terms and Conditions ("Terms") govern your access and use of the CarPal Platform Administrator account (the "Platform"), owned and operated by Citrus Labs Limited ("the Company"), in accordance with the laws of Kenya as of 2025. By accessing or using the Platform, you confirm that you are an authorized employee of Citrus Labs Limited and agree to comply with these Terms. Unauthorized access or usage is strictly prohibited and may result in legal action.

Eligibility and Authorization

1. Employment Status:

• You must be an authorized employee of Citrus Labs Limited to use the Platform.
• Employment must be verifiable through an active employment contract.
• Access to the Platform is non-transferable and restricted to the authorized user.

2. Approval Requirements: Account creation and access are subject to approval by an existing Platform Administrator, designated by Citrus Labs Limited.

3. Termination of Employment: Access to the Platform is immediately revoked upon termination of your employment with Citrus Labs Limited.

Account Responsibilities

1. Account Security:

• You are responsible for maintaining the confidentiality of your login credentials.
• Notify the Company immediately if you suspect unauthorized use of your account.

2. Accurate Information: You must provide accurate and up-to-date information when creating or using your account. Misrepresentation may lead to account suspension.

3. Compliance: You must comply with all internal policies, applicable laws, and regulatory requirements in Kenya while using the Platform.

Permitted Use

1. Platform Usage: The Platform must be used solely for business operations authorized by Citrus Labs Limited, including:

• Managing user profiles.
• Overseeing business accounts.
• Reviewing financial transactions and analytics.

2. Prohibited Actions:

• Sharing your account credentials with others.
• Using the Platform for personal or unauthorized commercial purposes.
• Altering, duplicating, or misusing data hosted on the Platform.

3. System Integrity: You must not interfere with the Platform's functionality, introduce malicious code, or engage in any activities that compromise the Platform's security.

Data Privacy and Confidentiality

1. Personal Data:

• You must handle all user data in accordance with Kenya's Data Protection Act, 2019.
• Unauthorized access, sharing, or use of personal data is prohibited.

2. Confidentiality:

• You must maintain the confidentiality of proprietary and sensitive information accessed via the Platform.
• Disclosure of confidential information without prior authorization may result in legal action.

Termination and Suspension

1. Termination by Citrus Labs Limited:

• The Company reserves the right to terminate or suspend your account for non-compliance with these Terms.

2. Voluntary Termination:

• You may request account deactivation in writing. Approval is subject to the Company's policies.

3. Post-Termination Obligations:

• Upon termination, you must cease all use of the Platform and return or delete any proprietary data as instructed by Citrus Labs Limited.

Intellectual Property

1. Ownership:

• The Platform and its components, including all content, trademarks, and logos, are the intellectual property of Citrus Labs Limited.

2. Restrictions:

• You may not modify, reproduce, or distribute any part of the Platform without written permission from Citrus Labs Limited.

Dispute Resolution

1. Governing Law:

• These Terms are governed by the laws of Kenya.

2. Arbitration:

• Disputes arising under these Terms shall first be resolved through mediation. If unresolved, disputes will proceed to binding arbitration in accordance with the Kenyan Arbitration Act.

Liability

1. Limitation of Liability:

• Citrus Labs Limited is not liable for damages arising from unauthorized use of your account or the Platform.

2. Indemnification:

• You agree to indemnify and hold Citrus Labs Limited harmless from claims arising from your misuse of the Platform.

Amendments

1. Updates to Terms:

• The Company reserves the right to amend these Terms. Users will be notified of significant changes.

2. Acceptance of Amendments:

• Continued use of the Platform after amendments constitutes acceptance of the revised Terms.
